Propel Terms of Service
Effective Date: February 2026
1. Agreement to Propel Terms
By registering for an account, booking a consultation, or engaging with any Propel service, you legally agree to be bound by these Terms of Service.
You are entirely responsible for maintaining the security of your account and for all activities that occur under your specific credentials.
If you do not agree to these comprehensive terms, you must immediately cease use of our platform and cancel any scheduled consultations.
2. Managed Service Model & Continuity
Propel operates as a Managed Service Provider, not a traditional staffing agency.
- Managed Outcomes: We deliver specific business outcomes through "Specialist Pods" overseen by internal Second-in-Command (2IC) leadership.
- Business Continuity: Propel is responsible for internal staff cross-training and coverage. We ensure "Always On" zero-downtime operations; if a specific specialist is unavailable, a fully trained backup equipped with your SOPs will maintain service continuity.
3. Specialized Division Standards
Propel Assist (Managed Operations)
- Scope: Provides managed support teams to handle daily administrative operations and customer engagement.
- Outcome Focus: All activities are performed by pre-vetted staff and are designed to optimize efficiency while safeguarding client communications, files, and business records.
Propel Tech (Systems Integration)
- Integration Liability: We specialize in the setup and optimization of digital systems (e.g., GoHighLevel, Simpro, ServiceMate).
- Third-Party Software: Clients are responsible for maintaining their own third-party software subscriptions. Propel is not liable for data loss or service interruptions caused by third-party software updates or API failures.
Propel Rendering (3D Visualisation)
- Visual Representation: Renders are provided for photorealistic visualization and client alignment only.
- Non-Technical Nature: These visuals are not architectural drafts, engineering plans, or documents for council approval.
- Visual Equivalents: Unless manufacturer-specific 3D files are provided, Propel uses "Visual Equivalents" from our digital library to match the "look and feel" of requested finishes.
- Revisions: One round of minor revisions (colors, textures) is included. Structural or layout changes requested after the draft are considered billable design changes.
Propel Accounting (Financial Management)
- Facilitation Only: We provide bookkeeping, payroll, and financial record management facilitated through authorized personnel.
- Final Authority: The Client retains absolute final "OK" and signing authority for all high-value payments, bill approvals, and tax-related filings.
Propel Partner (Fractional COO & Consulting)
- Independent Entity: Propel remains a separate legal entity from any third-party business brokers, accountants, or coaches we collaborate with.
- Strategic Execution: We guarantee the quality of our technical execution of provided strategies but do not guarantee specific financial returns from third-party advice.
4. Onboarding & Client Execution Responsibilities
- Active Collaboration: Successful execution requires proactive and timely collaboration from you and your internal team.
- Pre-requisites: Project timelines and service delivery only commence once all "Pre-requisites" (including system access, brand kits, and SOP training videos) are provided via ClickUp.
- Delays: Failure to provide necessary assets in a timely manner may result in project delays for which Propel cannot be held legally responsible.
5. Intellectual Property and Ownership
- Client Ownership: Any custom Standard Operating Procedures (SOPs), automated workflows, and system architectures created specifically for your business become your exclusive property upon full payment.
- Propel IP: Exporting or replicating Propel’s proprietary internal workflows, master configurations, or coaching frameworks for use in competing products is strictly prohibited by law.
6. Non-Solicitation of Staff
Clients agree not to directly or indirectly solicit, induce, or hire any Propel employee, 2IC, or specialist contractor for a period of twelve (12) months following the termination of this agreement.
7. Strict Limitation of Liability
- Service Basis: Propel provides the Service on an "as is" basis and disclaims warranties regarding uninterrupted platform performance.
- Damage Waiver: We are not liable for any indirect, incidental, or consequential damages arising from the use of our tech implementation or managed services.
- Aggregate Cap: To the maximum extent permitted by law, our total aggregate liability for any claims shall never exceed the total fees paid by you for the specific service in question during the three (3) months preceding the claim.
